Mr Tam has practiced law since 2005 and has been with Russin & Vecchi since 2011. His practice focuses on commercial issues, investments and competition matters.

He has experience advising on corporate matters, M&A transactions and competition and compliance matters, particularly in real estate, energy, healthcare, telecoms, manufacturing and distribution. Mr Tam has been involved in many of the firm’s corporate matters.

  • Assisting PTT Public Company Limited in its divestment in the joint venture with Petro Vietnam Southern Gas;
  • Advised Norbreeze Collective Asia (NCA) on ongoing corporate and business matters involving retail business and operation;
  • Advised and assisted NTT in a joint venture with a Vietnamese partner to invest and to operate a data center project with telecommunications services;
  • Advising various clients (American chip manufacturer, Amphenol Corporation, Asus, Monster Energy, Associated British Food, Marshall Amplification, Jotun, SharkNinja, etc.) on ongoing issues in most material aspects of their operations, from employment and training to construction and land issues, from interactions with governmental agencies on daily operations to regulatory procedures for subsequent restructurings of the subsidiaries;
  • Advising and assisting TNT Express to restructure its joint venture with a State-owned partner, including eventually acquiring the State-owned partner’s interest in the joint venture in phases;
  • Advising AC Energy on investments in various renewable energy projects in Vietnam;
  • Advised Online Mobile Services JSC (MoMo) on successful fundraising of US$133 million and US$200 million in Series D and E rounds. The completion of Series E round put MoMo among a handful of unicorns in Vietnam;
  • Advised and assisted Fim+, providing pay-per-view Over-the-Top (OTP) content (like movies, video streams, television programs, radio programs, news, music, etc.) and linear broadcasting (like OTP television, cable television, digital terrestrial television (DTT)), in fund raising from Golden Screen Cinemas from Malaysia;
  • Assisted and advised iflix and work with local partner on regulatory matters, structure of local presence, engagement of and cooperation with internet content providers (like Pay TV), funding restructuring;
  • Providing legal advice involving, mostly or partly, licensing to incorporate Midtown Project (a joint venture of Phu My Hung); UOA Tower; Saigon South Residences (M&A);
  • Due diligence for compliance by investment targets, vendors, and other multinational corporation (notably, Chart Industries’ acquisition of Howden, Ayala’s series of acquisitions of a majority stake in Ho Chi Minh City Infrastructure Investment JSC (CII); Berli Jucker’s acquisition of Metro’s Cash & Carry; Hoan My Medical Corporation’s acquisitions of various private hospitals and clinics; Cotec Healthcare’s placement of shares in a chain of operating and greenfield hospitals to foreign strategic investor, etc.);
  • Advised and assisted clients (Phu My Hung, Gamuda Land, EZ Land etc.) in various matters relating to competition law and merger filings in real estate sectors.
