Hoai has over 20 years of experience practicing law.

He joined Russin & Vecchi in 2005. Previously, he worked for an international auditing company and for a foreign multinational company as the company secretary and on its inhouse team.

His expertise includes corporate and M&A with particular emphasis on infrastructure and taxation.

He has worked on M&A transactions and on several cross-border transactions involving project finance, energy, and infrastructure.

Deals

  • Advising a Chinese insurance company in a multi-billion dollar coal power project (with capacity of 1,200 MW) with multiple parties with project documentation that includes government agreements, loan and security documents, coal supply agreements, EPC contract, land lease agreement;
  • Acted for foreign bank and foreign power company to conduct due diligence investigations on four solar projects (with a total capacity of 400 MW) prior to acquisition; prepare acquisition documents;
  • Acted for a group of local shareholders to sell a chain of supermarkets;
  • Acted for a group of foreign investors in connection with their acquisition of a fleet of offshore drilling rigs of which two rigs were located in Vietnam;
  • Advised PT Tamatis Hidro on cross-border M&A transaction involving proposed purchase of six (6) hydro-power plants;
  • Acted for Manila Water in various strategic investments in water treatment and distribution plants throughout Vietnam, including due diligence reviews, preparing and negotiating transaction documents;
  • Played an independent role including preparation of written analysis in a multi-million US dollar tax dispute involving a foreign oil company and the Vietnamese government;
  • Successfully assisted in a multi-million dollar tax dispute with tax authorities in relation to capital gains tax.
